1. Agreement to Terms

Trabahay is a healthcare workforce solutions company that assists healthcare organizations in developing long-term nursing workforce capacity through international recruitment, workforce planning, candidate sourcing, onboarding assistance, and related services. Information provided through the Services is for general informational purposes only and may be modified without notice.
3. Eligibility
You must be at least eighteen (18) years of age and legally capable of entering into binding agreements to use the Services. By using the Services, you represent that all information you provide is accurate and that your use of the Services complies with applicable laws.
4. Acceptable Use
You agree not to use the Services for any unlawful purpose, submit false or misleading information, interfere with the operation of the Services, attempt to gain unauthorized access to systems or data, or introduce malicious code. Trabahay reserves the right to restrict, suspend, or terminate access to the Services for violations of these Terms.
5. International Recruitment Services
Trabahay provides healthcare workforce solutions designed to assist healthcare organizations in developing long-term nursing workforce capacity through international recruitment, workforce planning, candidate sourcing, onboarding support, and related services. Information provided through the Services is for informational purposes only and does not constitute an offer of employment, staffing guarantee, candidate guarantee, or contractual commitment unless expressly set forth in a separate written agreement between the applicable parties.
6. No Guarantee of Placement
Submission of information through the Services does not create an employment relationship, staffing agreement, recruitment agreement, or contractual obligation between any party. Use of the Services does not guarantee employment, candidate placement, interview opportunities, or participation in any recruitment program. All opportunities remain subject to employer requirements, applicable laws, and independent decisions made by the parties involved.
7. Third-Party Services
The Services may contain links to third-party websites, products, services, or social media platforms. Trabahay does not control and is not responsible for third-party content, privacy practices, service availability, or products and services offered by third parties. Your use of third-party services is solely at your own risk and subject to their applicable terms and policies.
8. Intellectual Property
The Services and all related content, including text, graphics, logos, branding, software, documents, designs, educational materials, and recruitment methodologies, are owned by or licensed to Trabahay and are protected by applicable intellectual property laws. No portion of the Services may be copied, reproduced, distributed, modified, or exploited without prior written consent.
9. Confidentiality
Any non-public information disclosed through the Services or during business discussions should be treated as confidential unless otherwise designated. Separate confidentiality agreements may govern specific business relationships and will control where applicable.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRABAHAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION. IN NO EVENT SHALL TRABAHAY'S AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT PAID TO TRABAHAY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Trabahay and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from your use of the Services, violation of these Terms, or violation of applicable laws.
14. Termination
Trabahay may suspend or terminate access to the Services at any time, with or without notice, for any reason. Upon termination, your right to use the Services immediately ceases.
15. Governing Law
These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles.
16. Dispute Resolution
Before initiating legal proceedings, the parties agree to attempt in good faith to resolve disputes through informal discussions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in California.
17. Changes to These Terms
Trabahay reserves the right to modify these Terms at any time. Updated versions will be posted on the website with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
